Supplier Conditions and Safety Rules
These Supplier Conditions and Safety Rules are binding on Suppliers who agree to a Statement of Work with Glacier FarmMedia Limited Partnership (“GFM”), operating as Ag in Motion (“AIM”).

1. A Supplier will, at its sole cost, provide all personnel, labour, materials, supplies, equipment, transportation and other necessities for the timely, proper, and safe performance of the Services, unless otherwise agreed to in the Statement of Work.
2. The Supplier agrees that all Services will be performed by qualified personnel with the necessary knowledge, skills, and expertise required to perform the Services, and in accordance with all professional and industry standards for such Services. The Supplier will provide the Services in a professional and workmanlike manner, and will ensure that the Supplier Parties act and behave in a respectful manner and maintain and protect GFM’s and AIM’s professional image and reputation. The Services will conform to the requirements or written specifications set out in the Statement of Work or as otherwise agreed to by the parties.
3. The Supplier agrees that any person working for the Supplier in the performance of the Services will abide by all and all AIM policies, rules and procedures, as may be amended from time to time, and any other directions communicated (verbally or in writing) by authorized staff or representatives of GFM.
4. The Supplier acknowledges and understands that the Supplier’s performance of the Services, including the access, use and occupancy at the AIM site, is entirely at their own risk. GFM makes no representations as to the safety or security of the performance of the Services and does not guarantee any regular monitoring, maintenance, supervision, or security.
5. The Supplier may not sub-contract any of its obligations without the prior written authorization of GFM. Any request to sub-contract any part of the Supplier’s obligations must be submitted in writing to GFM.
6. The Supplier agrees to report in a timely manner all relevant details of any safety concerns, incidents, or accidents to authorized representatives of GFM.
7. In order to ensure the safety of all attendees, the Supplier understands and agrees that GFM reserves the right to, and may, at any time, with or without reasonable notice, require the Supplier to vacate the Site and/or inspect any property of the Supplier.
8. The Supplier may not take or rely upon any information, authorizations, or directions received from any other person other than the persons GFM has designated to provide instructions. If the Supplier performs services at the direction of any other persons, including any other suppliers, exhibitors or sponsor, GFM is not responsible to pay or reimburse the Supplier for any services, fees, expenses or other charges arising from or as a result of any unauthorized directions.
9. The Supplier agrees that they will ensure that any person working for the Supplier in the performance of the Services will abide by, all laws (including any applicable worker’s compensation, immigration, privacy, employment standards and occupational health and safety laws), regulations, by-laws, standards, codes or ordinances.
10. In the event that GFM supplies any property, including any supplies, tools, equipment or machinery, for the performance of the Services, the Supplier is required to exert the same degree of due care and caution that an owner would exercise. The Supplier will immediately return GFM’s property as requested.
11. The Supplier, at its own cost, agrees to carry, maintain and keep current a commercial general liability insurance policy providing coverage for their performance of services. Prior to the provision of any Services, the Supplier must provide GFM with a certificate of insurance from a reputable insurer evidencing the Supplier’s insurance coverage. The certificate of insurance must name “Glacier FarmMedia Limited Partnership operating as Ag in Motion” as an additional insured under the policy. The Supplier confirms that it will give GFM thirty (30) days’ written notice of any cancellation or material change in Supplier’s insurance coverage.
12. The Supplier is fully liable for any loss of or damage they cause to the AIM site or any personal property as a result of the performance of the Services. The Supplier will be fully responsible for all costs of repair or replacement of the Site and/or such lost or damaged property.
13. The Supplier ACKNOWLEDGES AND AGREES THAT GFM IS NOT AND SHALL NOT BE LIABLE TO THE SUPPLIER for any general, indirect, incidental, consequential, special, exemplary, punitive or other damages or any economic losses of any kind or nature, whether in law or in equity; and DOES HEREBY FULLY AND FOREVER RELEASE, WAIVE AND DISCHARGE GFM from and against any and all Claims, that the Supplier have now or may have in the future relating to the provision of Services, including any disputes which arise as between the Supplier and an exhibitor, sponsor, attendee, another supplier or any other third party.
14. In the case of Force Majeure preventing or hindering the Supplier or GFM from performing or complying with any of its obligations hereunder, in whole or in part, the Supplier or GFM will give written notice as soon as commercially reasonable to the other party containing reasonable particulars and effect of the Force Majeure in question. Once notice is properly provided to the other party, the Force Majeure detailed in the notice will not constitute a default hereunder and the party giving the notice is entitled to suspend performance of its affected obligations during the period of the Force Majeure, provided that the party affected by the Force Majeure makes reasonable efforts to shorten the effect of the Force Majeure and resume compliance with its obligations as soon as reasonably practicable. In the event that GFM receives notice of a Force Majeure which it reasonably believes may affect the Supplier’s ability to perform the Services (or a material portion thereof) for the show, GFM may terminate the Statement(s) of Work affected by the Force Majeure immediately upon notice of termination to the Supplier and without any consequence to GFM.
15. A Supplier who enters into a Statement of Work to provide services agrees that does not create a partnership, agency, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties.
16. A Supplier agrees and understands that it is acting as an independent contractor and not as an employee of GFM.
17. The parties acknowledge and agree being a Supplier of Services for GFM or AIM does not create an exclusive relationship. GFM is under no obligation to enter into any future Statement of Work with the Supplier, and is free to engage others to perform the same or similar services at any time, in its sole discretion.
18. The Supplier agrees that the Services will not infringe or violate the intellectual property or other rights of any third party.
19. GFM has the right to cancel a Statement of Work, cancel the Ag in Motion show or re-schedule the Ag in Motion show, at any time, with or without reasonable notice to the Supplier, and, in such event, GFM will be released from its obligations to pay the Supplier for any unperformed Services, or such portion thereof, that were to be performed in the cancelled Statement of Work, or at the cancelled or re-scheduled Ag in Motion show.
20. The Supplier agrees to hold in confidence any non-public, confidential, or proprietary information or data received in connection with the Statement of Work including, but not limited to trade secrets, technology, intellectual property, information pertaining to business operations, clients, pricing, and marketing, howsoever disclosed, and regardless of whether it is identified as confidential.
21. Agreements with Suppliers are construed, interpreted and enforced in accordance with the laws of the Province of Manitoba, and each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of such Province.
22. Any agreement made with a Supplier, including a Statement of Work, will enure to the benefit of and will be binding upon and enforceable by the parties and their respective successors and permitted assigns.
23. The Supplier acknowledges and agrees that GFM may unilaterally amend the Supplier Conditions and Safety Rules or any other policies or directives from time to time, with or without notice to the Supplier.
